ENROLLMENT AGREEMENT WITH NON-DISCLOSURE PROVISION AND DTPA-CPA WAIVER
This Enrollment Agreement (“Agreement”) is a contractual arrangement entered into by and between the undersigned student (“Student”) and SLDP, Simplified Legal Document Processing, LLC, an esteemed online educational institution operating SLDP.net.
1. WAIVER OF RIGHTS UNDER THE TEXAS DECEPTIVE TRADE PRACTICES–CONSUMER PROTECTION ACT (DTPA-CPA):
STUDENT HEREBY ACKNOWLEDGES AND AGREES THAT THEY ARE WAIVING ANY AND ALL RIGHTS, REMEDIES, AND CAUSES OF ACTION UNDER THE TEXAS DECEPTIVE TRADE PRACTICES–CONSUMER PROTECTION ACT, TEXAS BUSINESS & COMMERCE CODE §17.41 ET SEQ., INCLUDING WITHOUT LIMITATION THE RIGHTS TO SUE FOR DAMAGES, ATTORNEYS’ FEES, OR EQUITABLE RELIEF ARISING FROM OR RELATED TO THIS AGREEMENT, THE ENROLLMENT PROCESS, THE ONLINE SCHOOL SLDP.NET, THE ISSUANCE OR NON-ISSUANCE OF A COMPLETION CERTIFICATE, TECHNOLOGICAL FAILURES, ERRORS, SHORTCOMINGS, THE EDUCATIONAL SERVICES, OR ANY REPRESENTATIONS MADE BY SLDP OR ITS AFFILIATES.
STUDENT FURTHER AFFIRMS THAT THIS WAIVER IS KNOWING, VOLUNTARY, AND MADE AFTER CAREFUL REVIEW OF THIS AGREEMENT, AND THAT STUDENT HAS HAD THE OPPORTUNITY TO SEEK THE ADVICE OF INDEPENDENT LEGAL COUNSEL PRIOR TO ENTERING INTO THIS AGREEMENT.
2. Understanding Definitions:
Throughout this Agreement, “Student” shall refer to the enrolled individual or the party responsible for course payment, while “SLDP” pertains to Simplified Legal Document Processing, LLC and its online school SLDP.net.
3. Informed Decision-Making:
Prior to formal acceptance of these terms and conditions, it is strongly recommended that Student engage the services of a legal professional for comprehensive review.
4. Implied Acceptance:
Usage of the SLDP website unequivocally implies consent and agreement with the stipulated terms and conditions.
5. No Refunds:
It is expressly acknowledged that no refund mechanisms exist for any payments made under this Agreement. Additionally, due to the sensitive nature of the provided data and the immediate access granted post-payment, once the content is paid for, accessed, viewed, or copied, refunds will not be issued.
6. Timely Course Completion:
Student is advised to strive for course completion within 1–2 days (24–48 hours) of enrollment due to the dynamic nature of software updates.
7. Operational Website Discretion:
The operational status of the SLDP website is not guaranteed, and downtimes may occur.
8. Absence of Guarantees:
SLDP makes no assurances regarding Student success in course completion or the temporal commitments involved.
9. Commitment to Confidentiality:
Student commits to a strict non-disclosure obligation, refraining from disseminating SLDP's proprietary content to any third party for a minimum duration of ten (10) years.
10. Course Duration and Re-enrollment:
A stipulated timeframe of ninety (90) days is allocated for Student to conclude a course, following which re-enrollment becomes necessary at the prevailing tuition rates.
11. Consequences of Breach:
Breach of the non-disclosure agreement carries a minimum penalty of $20,000.
12. Acknowledgment of Cost Implications:
Student acknowledges that SLDP facilitates discounted access to content with any extraordinary requirements incurring additional costs, the onus of which rests on the Student. Should any Student require additional time, resources, or extended support beyond the standard course parameters (e.g. correcting a certificate that is no error of SLDP, dealing with a threatening relative, etc), an additional fee of $120/hour will be incurred, the responsibility for which rests on the Student. Student acknowledges that a Certificate of Completion may be withheld pending payment of all incurred charges.
This fee is not limited to technical support and may apply to various circumstances, including but not limited to personalized assistance, or any extraordinary requirements deemed outside the standard scope of the course. In such cases, SLDP will communicate the nature of the additional requirements and associated costs to the Student.
13. Direct Communication Protocol:
In the event of challenges, concerns, or grievances, Student agrees, as a matter of protocol, to first contact SLDP directly, via multiple text messages and voicemail messages - if necessary, abstaining from third-party intervention. This ensures prompt and efficient resolution of any issues.
14. Indemnification Agreement:
Student agrees to indemnify SLDP and its proprietors against third-party claims, thereby waiving the right to litigate in good faith.
15. Maximum Liability Limitation:
SLDP's maximum financial liability to Student is capped at $100 or the actual course fee paid, whichever is lesser.
16. Information Provision Disclaimer:
All information is provided on an "as is" basis without any expressed or implied warranties.
17. Certification Protocol:
Issuance of course certificates is contingent upon full payment clearance, passing completion of all exams, and fulfilling any other specified requirements. Non-payment of all accrued fees or failure to pass exams renders the certification void.
18. Software Use Agreement:
Student agrees not to circumvent, or attempt to circumvent, SLDP's software in any manner.
19. Software Functionality Disclaimer:
SLDP.net disclaims any liability for software functionality, bugs, hacks, information breaches, or viruses.
20. Course Content Updates:
Student acknowledges that course content may be subject to updates and modifications. Given the constantly changing rules and laws, it is possible for some information to be outdated at the time the student reviews the material. The onus is on the student to ensure their own current compliance with all rules and laws.
21. Data Privacy:
Student agrees to the collection and processing of personal data by SLDP for educational purposes, with strict adherence to data privacy laws and regulations. Student will be notified within 6 months of any known breach. Student should take preventative measures to avoid exposure and should use an abnormal password for their account on SLDP.
22. Dispute Resolution Mechanism:
Disputes are subject to resolution through arbitration or small claims court, with the Student responsible for associated fees, costs, and expenses. Student waives the right to a trial by jury and agrees to reimburse SLDP's costs and fees if unsuccessful.
23. Termination of Enrollment:
SLDP reserves the right to terminate Student's enrollment without refund if SLDP determines, at its sole discretion, that the Student has violated the terms of this Agreement or engaged in inappropriate conduct.
24. Severability:
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
25. Entire Agreement:
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral, relating to the subject matter herein.
26. Amendments:
SLDP reserves the right to amend this Agreement at any time. Students can receive notification of such amendments via SLDP.net, and continued use of SLDP's services constitutes acceptance of the amended terms.
27. Legal Governance:
This Agreement is governed by the laws of the State of Arizona, and any disputes arising hereunder shall be adjudicated in the small claims court(s) of Maricopa County.
